Commercial/Corporate Lawyer: JOB OF THE WEEK

We have a fantastic opportunity for a Solicitor to work full time as ‘Legal Counsel’ in our corporate team, providing a broad range of corporate and M&A business services to support to the management. This role reports to the Group Chief Operations Officer.

You will be active in domestic and cross-border corporate transactions – mergers, acquisitions, dispositions and joint ventures. Ideally, you will have experience in both public and private M&A transactions. Other experience gained under the umbrella of commercial/corporate services would be useful including banking and financial services; infrastructure and project finance; telecommunications, media and intellectual property, intellectual property and tax.
Candidates with tax experience would be appreciated, in particular if you have a broad range of tax expertise in business taxation including mergers, acquisitions and corporate restructuring; joint ventures; capital markets; international tax planning; property taxation; developments and investment; value added tax and customs duties and tax finance. You will have worked for either a large accounting firm or a major international law firm. You should have a track record of providing clients with tax effective solutions, which are commercially workable in a cross-border transactional context.

Key Responsibilities: The role focuses on the fields Corporate law and law of Association, therefore the candidate will have substantial experience in general Corporate law, including capital increases and decreases, mergers, shareholder and board meetings. . Assist in commercial contracts, finalising legal documents - such as sale and subscription agreements. . Responsible for handling issues regarding banking law, capital market law, law of credit and securities, fund raising activities, equity investments. . Give advice in merger & acquisition activities. . Assist with all corporate governance issues. . Deal with multinational company matters and offer general advice.

Required Skills/Experience:
. Graduate degree in Corporate law. . 3+ years of working experience in general Corporate law, acquired in a leading international accounting firm or a major law firm, with profound experience in dealing with merger & acquisitions and private equity work, OR 3+ years experience working client side in a similar field . Proven track record of supporting the management on transactions. . Experience in dealing with cases for the technology or media sector is a plus, experience in data protection and privacy as it pertains to cookies and the internet and advantage. . The international orientation of your task requires business fluency in English, both written and spoken. Additional languages such as German and/or French a plus. . Highly organised, with ability to manage multiple tasks simultaneously with minimal supervision. . Bright, charismatic, inspirational with the ability to win credibility internally. . Ability to work in a team, analytical and conceptual aptitude, flexibility, commitment and routine experience in using MS Office programs round off your profile.
